These Terms of Service (“Terms”) form a legally binding agreement between you (“you” or “your”) and Vidverse ("we," "us," or "our"). These Terms govern your access to and use of our mobile applications available on the Apple App Store (the “Apps”), and all related content, products, generative AI features, and services (collectively, the “Service”).

By downloading, installing, accessing, or otherwise using the Service, you agree to be bound by these Terms, as well as our Privacy Policy. Your use of the Service is also subject to any applicable Apple App Store Supplemental Terms, including the Standard Licensed Application End User License Agreement (EULA).

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE. YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICE AND UNINSTALL AND DELETE ANY COPIES OF THE APPS FROM YOUR DEVICES.

1. Modifications to the Terms and the Service

We reserve the right to modify these Terms at our sole discretion to reflect service updates, security enhancements, technological upgrades, or to comply with Apple’s App Store Review Guidelines and applicable regulations. When we make material changes, we will notify you within the App or by updating the "Last Updated" date at the top of these Terms. Your continued use of the App after such notification constitutes your acceptance of the revised Terms.

We may also update, patch, suspend, or discontinue any aspect, feature, or functionality of the App at any time without prior notice or liability.

2. Eligibility and Account Registration

A. Age Requirements

The Service is not intended for individuals under the age of 16. If you are under 16 years of age, you are prohibited from using the App. If you are between 16 and the age of majority in your jurisdiction, you may only use the App under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

B. Third-Party Sign-In (Social Authentication)

To access certain features of the App, you may be required to create an account or sign in through third-party authentication services.

l Sign in with Apple: In compliance with Apple’s guidelines, we offer Sign in with Apple as a primary, secure method to establish your account. By using Sign in with Apple, you authorize us to access your unique user identifier and default email (or proxy email provided by Apple).

l Other Platforms (e.g., Facebook, Google): If you opt to register via other platforms, you grant us permission to collect profile information authorized by those platforms.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. Subscriptions, In-App Purchases, and Apple Terms

A. App Store Billing

All premium features, virtual assets, or digital subscriptions offered within Vidverse are processed exclusively via Apple’s In-App Purchase (IAP) system. Payments will be charged to your Apple ID Account at confirmation of purchase.

B. Subscription Renewal & Cancellation

Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period. Your Apple ID Account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscriptions at any time by navigating to your Account Settings on the App Store.

C. Refunds

All financial aspects of In-App Purchases are legally handled and governed by Apple. Requests for refunds must be submitted directly to Apple via reportaproblem.apple.com. We have no authority to process or grant refunds on Apple's behalf.

4. Acceptable Use and Prohibitions

You agree not to use the App, or allow any third party using your device to:

l Engage in any unlawful, fraudulent, or deceptive behavior.

l Decompile, reverse engineer, or attempt to extract the source code of the App, except to the extent permitted by applicable law.

l Interfere with, disrupt, or bypass the digital rights management, security systems, or content filters of the App.

l Utilize automated bots, scrapers, or scripts to pull data from our systems without explicit authorization.

5. User-Generated Content (UGC) & Safety Controls

The App provides tools allowing you to upload media, text prompts, or create custom outputs ("User-Generated Content" or "UGC").

A. Ownership and License

You retain all intellectual property rights and ownership over your UGC. However, to provide and display your creations within the App, you grant us a worldwide, non-exclusive, royalty-free license to host, transmit, cache, and display your UGC solely for functional purposes within the App ecosystem.

B. Apple UGC Safety Mandate (Guideline 1.2)

In accordance with Apple Store Review Guideline 1.2, we enforce a strict zero-tolerance policy for objectionable content or abusive behavior. You are strictly prohibited from generating or sharing UGC that is:

l Defamatory, obscene, pornographic, or sexually explicit.

l Hateful, discriminatory, harassing, or promoting violence/harassment against any individual or group.

l Infringing upon third-party copyrights, intellectual property, or privacy rights (including unauthorized deepfakes of individuals).

C. Enforcement Mechanisms

To ensure user safety, Vidverse implements:

l Built-in Content Filtering: Automated screening of uploaded/generated media.

l Reporting & Flagging Tools: An easily accessible in-app button for users to immediately report offensive UGC or abusive behavior.

l Moderation Action: We reserve the right to review, block, or permanently delete any UGC, and to immediately terminate or suspend the accounts of users who violate these safety rules.

6. Generative AI Features

The App contains features utilizing Generative Artificial Intelligence models. You provide the input (text prompts, images, video) and receive generated output.

l Content Guardrails: You agree not to manipulate or reverse-engineer prompt lines to bypass our AI safety blocks or to deliberately generate content intended to mislead, spread disinformation, or create non-consensual imagery.

l AI Service Providers: To process your requests, your inputs may be securely transmitted through cloud infrastructure partners (e.g., AWS, Google Cloud, Alibaba Cloud) and AI inference entities (e.g., Google, Alibaba, ByteDance/Volcengine). As stated in our Privacy Policy, your inputs are processed in real-time, transiently, and are never used to train general-purpose third-party machine learning models.

7. Intellectual Property

The Vidverse brand, the design of the App, the source code, user interfaces, logos, and proprietary AI workflows are exclusively owned by Vidverse and its licensors. No license, title, or interest is transferred to you other than the limited, non-exclusive, revocable right to run the App on your authorized iOS device for personal, non-commercial use.

8. Disclaimer of Warranties & Limitation of Liability

The Service is provided to you on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted under applicable law (including consumer protection laws governing your iOS device), we shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use or inability to use the App, even if advised of the possibility of such damages.

9. Account Termination & Deletion

A. Termination by Us

We may suspend or terminate your access to the App immediately, without prior notice, if you breach these Terms, violate Apple’s rules, or engage in activity that poses a legal risk to our platform.

B. User Account Deletion

In compliance with Apple’s requirements, you have the right to delete your account and all associated personal data directly within the App's settings menu at any time. Upon deletion, your account status will be permanently removed, and any synced cloud files will be purged in accordance with our Privacy Policy.

10. Governing Law

These Terms and your use of the App shall be governed by and construed in accordance with the laws of USA, without regard to its conflict of law principles. Any legal action arising hereunder shall be brought in the competent courts of that region.
